User Terms

Welcome to the NFTXX Platform. Before using the services provided by this platform (including but not limited to NFT creation, minting, burning, referral rewards, and other features), please carefully read and fully understand these Terms of Service (hereinafter referred to as "these Terms"). By accessing, registering, or using this platform, you are deemed to have read, understood, accepted, and agreed to all contents of these Terms.

If you do not agree with any content of these Terms, you have no right to use this platform and its services.

Definitions and Interpretations

In these Terms, unless otherwise defined by context, the following words shall have the following meanings:

  • "NFTXX" or "Platform": refers to the NFTXX project and its operating entity.

  • "User": refers to any natural person or organization that registers, logs in, or otherwise uses the platform services.

  • "Services": refers to all online services provided by the NFTXX platform, including but not limited to NFT creation, minting, burning, referral rewards, interface display, data interfaces, etc.

  • "Works / Content": refers to all digital content such as images, text, layers, attributes, etc., created, uploaded, generated, or submitted by users through the platform.

  • "Wallet Address / Blockchain Address": refers to the encrypted wallet address used by users to receive, hold, and manage NFTs and tokens.

Terms such as "including" and "such as" in these Terms shall be deemed to mean "including but not limited to." Headings are provided for convenience only and shall not affect the interpretation of the actual meaning of the Terms.

Eligibility and Compliance

Registration Eligibility

You represent and warrant that:

  • You are a natural person with full civil capacity or a legal entity/organization duly established and validly existing;

  • Your use of the platform services complies with the laws and regulations of your jurisdiction;

  • You are not prohibited or restricted by any law, administrative regulation, or policy from using crypto assets, NFTs, or related services.

Prohibited Conduct

When using the platform services, you shall not:

  • Use the platform for money laundering, gambling, fraud, pyramid schemes, or other illegal activities;

  • Upload, generate, or disseminate content that violates laws and regulations, public order and morals, or infringes upon the legitimate rights and interests of others;

  • Use bots, scripts, cheats, or other technical means to interfere with the normal operation of the platform;

  • Impersonate others' identities or forge information for registration or activities;

  • Engage in other behaviors that violate applicable laws and regulations or these Terms.

If your region has regulatory restrictions or prohibitions on NFTs or crypto assets, please do not use the platform services.

Service Content and Usage Rules

NFT Creation and Minting

The platform provides AI image generation, image upload, AI editing and enhancement, and other methods to generate NFTs based on user choices. Users can initiate minting operations and pay fees according to the platform's pricing and rules.

Burn Function

Users can burn minted NFTs to obtain refunds (calculated according to the platform's formula), subject to a certain percentage of fees. Burn operations are irreversible once confirmed.

Referral Rewards

The platform provides users with a referral code mechanism. Users who invite others to successfully mint NFTs that have not been burned can receive rewards. Reward distribution must meet the platform's specified conditions.

Trading Restrictions

Before NFTs are fully deployed (or sold out), related NFTs cannot be traded on the platform or on-chain to ensure fairness and order during the minting period.

Service Interruption or Changes

NFTXX reserves the right to interrupt, modify, upgrade, or terminate services within reasonable limits and shall not be liable for service interruptions caused by maintenance, upgrades, or force majeure.

Intellectual Property and Licensing

User Content Ownership

Users legally own copyrights or other intellectual property rights to works/content submitted to the platform. The platform does not acquire ownership of such rights.

Authorization for Use

You agree to grant NFTXX Platform a worldwide, non-exclusive, perpetual, royalty-free, sublicensable license to display, promote, operate platform services, and for purposes such as technical analysis, storage, and dissemination.

Platform Materials and Code

The interfaces, copy, icons, source code, documentation, etc., provided by the platform itself are copyrighted by NFTXX. Without authorization, you may not copy, modify, disseminate, sell, etc.

Disclaimer

Services Provided "As Is"

No express or implied warranties are made regarding platform services, content, or systems, including but not limited to quality, suitability, security, availability, etc.

Technical Risks

Blockchain and encryption technologies may have vulnerabilities, attacks, network congestion, transaction failures, loss of private keys, and other risks. The platform is not responsible for losses caused thereby.

Third-Party Risks

The platform may reference third-party services, data, interfaces, or partner content. You understand and agree that the platform is not responsible for their legality, accuracy, or timeliness.

Refund Errors / Transaction Failures

Minting, burning, and reward distribution may fail or encounter errors due to system, network, or contract issues. The platform will make reasonable efforts to correct them but does not guarantee complete fulfillment of user expectations.

Indemnification and Limitation of Liability

Indemnification Obligation

If your violation of these Terms, laws and regulations, or infringement of others' rights causes losses to the platform or third parties, you shall bear full responsibility and compensate for losses (including but not limited to attorney fees, litigation costs, etc.).

Liability Cap

Under no circumstances shall NFTXX be liable for damages arising from the use or inability to use platform services (including but not limited to loss of revenue, data loss, damage to goodwill, etc.) exceeding the fees you actually paid for using this service.

Indirect Damage Disclaimer

The platform shall not be liable for any indirect, special, incidental, consequential, or punitive damages.

Termination and Account Suspension

User Termination

You may stop using the platform services at any time, and the platform is obligated to cease providing services to you.

Platform Termination / Suspension Rights

Under the following circumstances, the platform has the right to suspend or terminate your account services without notice and may delete related data:

  • You seriously violate these Terms or laws and regulations;

  • Required by law or administrative order;

  • To protect platform security or operational stability.

Suspension or termination of services does not exempt you from obligations or responsibilities incurred before termination.

Terms Changes and Notifications

Right to Change

NFTXX has the right to modify, supplement, or adjust these Terms according to business development or legal and regulatory requirements. The revised Terms shall take effect from the date of publication and shall be deemed accepted when you next use the services.

Notification Methods

The platform may publish Terms updates through announcements, pop-ups, emails, or in-site messages. If you continue to use the platform after Terms changes, you are deemed to accept the changed content.

Restricted Jurisdictions

NFTXX and its services are not available to users located in or accessing from the following countries or regions:

Mainland China, Russia, Iran, North Korea, Syria, Cuba, Belarus, India, Indonesia, Nigeria, Turkey, Egypt, Pakistan, Bangladesh, Nepal, Malaysia, Vietnam, and any other jurisdiction where the use of NFTs, cryptocurrencies, or related digital assets is restricted or prohibited by law.

NFTXX also does not provide services to any individuals or entities that are subject to international sanctions (including OFAC, EU, and UN sanctions lists).

Users are solely responsible for ensuring that their use of NFTXX complies with all applicable laws in their jurisdiction.

If you access NFTXX from a restricted region, you must immediately cease using the platform.

Other Terms

Severability

If any provision of these Terms is deemed invalid or unenforceable by a court or arbitration institution with jurisdiction, such provision shall be deemed severable to the necessary extent without affecting the validity of other provisions.

Entire Agreement

These Terms, together with various rules, announcements, and agreements published by the platform, constitute the complete agreement and supersede all prior oral or written agreements.
